1. Overview

1.1 This website is operated by Good Supplies, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms & conditions, policies, and notices stated here.

1.2 By visiting our site or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms & conditions including those additional terms and policies referenced below or available by hyperlink. These Terms & Conditions apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

1.3 Please read these Terms & Conditions carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms are considered an offer, acceptance is expressly limited to these Terms.

1.4 Any new features or tools added to the current store shall also be subject to the Terms & Conditions. You can review the most current version at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting updates or changes to our website. It is your responsibility to check this page periodically. Continued use of the website constitutes acceptance of any changes.

2. Orders

2.1 These Conditions apply to the Contract to the exclusion of any other terms that the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.

2.2 The Order constitutes an offer by the Customer to purchase the Products in accordance with these Conditions. The Order shall only be deemed accepted when Good Supplies issues a written acceptance, at which point the Contract shall come into existence. No order shall be made on a sale or return basis.

2.3 Customers have no automatic right to cancel an Order. If cancellation is requested and agreed upon by Good Supplies, a cancellation fee of $200 including tax shall apply.

2.4 Customers shall not alter or dismantle Products for sale by means of separate components. Good Supplies shall not be liable for any minor variations in appearance or descriptions provided for Products.

2.5 Initial minimum orders will depend on brand MOQ (Minimum Order Quantity).

3. Delivery

3.1 Delivery takes place when Products are delivered to Good Supplies’ nominated carrier with instructions to deliver to the address provided in the Order.

3.2 Product prices exclude costs of packaging, insurance (where requested), and transportation. Free standard delivery applies on orders over $1000.

3.3 Delivery times are estimates only. Good Supplies is not liable for delays during transit.

3.4 Customers cannot reject Products if the delivery includes up to ±5% of the ordered quantity.

3.5 Products may be delivered in installments, each forming a separate contract.

4. Payment

4.1 Products are supplied at the rates published in the Price List at the time of dispatch, subject to adjustments for market conditions.

4.2 Terms of credit may be available on application. Unless otherwise agreed, invoices must be paid within 10 days of issue. Queries do not affect payment due dates.

4.3 Good Supplies reserves the right to adjust prices due to changes in third-party costs or market conditions.

4.4 Interest on late payments will be charged at 5% over the base rate of the Company’s bank until payment is received in full. Customers are liable for recovery costs of outstanding amounts.

4.5 All charges are exclusive of TAX.

5. Risk / Title

5.1 Risk passes to the Customer upon delivery. Good Supplies is not responsible for loss, damage, or deterioration after dispatch.

5.2 Title passes only upon full payment of all amounts due. Until then, Customers hold sale proceeds in trust for Good Supplies.

5.3 Good Supplies is not liable for claims relating to third-party material supplied hereunder.

5.4 If the Customer fails to pay, Good Supplies may repossess Products without notice.

5.5 Damages are limited to sums paid by the Customer; no liability for indirect or consequential loss applies.

6. Returns

6.1 Customers must notify Good Supplies within 3 days of delivery if Products do not conform to the Order.

6.2 Defective Products must be returned within 30 days at the Customer’s cost for inspection. If confirmed defective, Good Supplies will repair or replace them. If no defect is found, return costs remain with the Customer.

7. Miscellaneous

7.1 Notices must be sent in writing to the registered address or via email at contact@goodsupplies.co.

7.2 No waiver of any breach shall be considered a waiver of any other breach.

7.3 Neither party shall be liable for failures caused by events beyond reasonable control (force majeure).

7.4 The Contract may only be varied in writing, signed by both parties.

7.5 These Terms shall be governed by and construed in accordance with the laws of the United States. The courts of the United States shall have exclusive jurisdiction over disputes.
